Terms of Service

These Terms of Service ("Terms") govern your access to and use of Metryx (the "Service"), operated by Neighbors Enterprises LLC ("Metryx", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Metryx provides community analytics, moderation, reporting, and related tools for Discord servers, with support for additional platforms added over time. Features, plans, and limits may change as the Service evolves.

2. Eligibility & accounts

You must be at least 13 years old, and old enough to form a binding contract in your jurisdiction, to use the Service. You are responsible for the information you provide, for keeping your login credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.

3. Subscriptions & billing

Some features require a paid subscription, billed per profile through our payment processor, Stripe. Paid plans renew automatically each billing period until canceled. You can cancel at any time; access continues until the end of the current period. Prices, taxes, and plan features may change with notice.

Refunds. If you would like a refund, contact support within 48 hours of a subscription charge. We will review the request, and refunds are granted at our discretion and are not guaranteed. This does not limit any rights you may have under applicable law.

4. Platforms and third-party services

Metryx works by connecting to platforms you already use. Each one has its own rules, and you agree to those alongside these Terms.

Discord. To use the Discord features you authorize the Metryx bot to access your server and agree to Discord's own terms and policies. You are responsible for having the right to connect any server you add and for how you use the data and tools we provide within it.

Instagram and Meta. To use the Instagram features you connect an Instagram professional account and grant Metryx permissions through Instagram. That use is also governed by the Meta Platform Terms, the Instagram Terms of Use, and Meta's Community Guidelines, and you agree to follow them. You confirm you own or are authorized to manage the account you connect. Meta can change, limit, or revoke API access at any time, and if it does, the affected features may stop working or lose fidelity through no fault of ours.

Content you publish. You are responsible for everything you schedule or publish through Metryx, including captions, media, alt text, tagged accounts, collaborator invitations, first comments, and any automated comment reply or direct message sent by a rule you configured. You confirm you hold the rights to that content and that it complies with the rules of the platform it goes to. We publish what you queue at the time you set; we do not review it first, and we are not responsible for a post that is rejected, removed, or actioned by the platform. The same goes for automated messaging: keep it consistent with the platform's messaging policies and with any law that applies where your audience lives.

Metryx is not affiliated with, endorsed by, or sponsored by Discord Inc. or Meta Platforms, Inc.

5. Acceptable use

You agree not to:

  • use the Service for any unlawful, harmful, or abusive purpose;
  • attempt to disrupt, reverse engineer, scrape, or gain unauthorized access to the Service or its systems;
  • use the Service to violate the privacy or rights of others, or to send spam or unsolicited messages;
  • resell or misrepresent the Service without our permission.

6. Your data

You retain ownership of the data you and your community generate. You grant Metryx a limited license to collect, store, and process that data solely to operate and improve the Service, as described in our Privacy Policy. You are responsible for complying with any laws that apply to your community's data.

7. AI-assisted moderation

Metryx offers AI-assisted moderation tools (automod) that a server owner or their staff can configure and enable. When enabled, these tools can take automated actions on messages and members, including warnings, mutes, kicks, or bans, based on rules and thresholds the server sets. We do not review each automated action before it happens.

The server owner is responsible for configuring automod rules appropriately and for the consequences of enabling automated enforcement in their community. Anyone actioned by an automated decision can appeal it through the case and appeal tools built into the Service, which route to a human for review. Metryx is not a party to the relationship between a server and its members, and enabling AI moderation does not make Metryx responsible for individual moderation outcomes.

8. Beta and experimental features

We sometimes release features as beta, preview, or experimental. These are provided for testing, may change or be removed at any time without notice, and are excluded from any warranty, uptime expectation, or support commitment that applies to generally available features. Use them at your own risk, particularly for anything that takes automated action in your community.

9. Intellectual property

The Service, including its software, design, and content (excluding your data), is owned by Metryx and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any metric, insight, or automated moderation decision will be accurate or complete.

11. Limitation of liability

To the fullest extent permitted by law, Metryx will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of the Service. Our total liability for any claim will not exceed the amount you paid us in the twelve months before the claim.

12. Indemnification

You agree to defend, indemnify, and hold Metryx harmless from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your content or data, or your configuration of moderation tools within your server, including automated actions taken under rules you set up.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. On termination, your right to use the Service ends and we may delete your data in accordance with our Privacy Policy. Sections that by their nature should survive termination, including billing obligations, disclaimers, liability limits, and indemnification, continue to apply.

15. Export and sanctions compliance

You may not use the Service if you are located in, or are a national or resident of, a country or region subject to comprehensive U.S. trade sanctions, or if you are on any U.S. government restricted party list. You are responsible for complying with export control and sanctions laws that apply to your use of the Service.

16. Governing law and disputes

These Terms are governed by the laws of the United States and the state in which Neighbors Enterprises LLC is organized, without regard to conflict of law principles. Before filing a claim, you agree to contact us at support@nbrs.app so we can try to resolve the issue informally. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts located where Neighbors Enterprises LLC is organized.

17. General terms

  • Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
  • Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and Metryx regarding the Service.
  • Force majeure. Neither party is liable for delays or failures caused by events outside its reasonable control.
  • Waiver. Our failure to enforce any part of these Terms is not a waiver of our right to do so later.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Continued use of the Service after changes take effect means you accept the updated Terms.
